Terms of Service

These Terms of Service ("Terms") govern access to and use of Clockwork, a business-to-business ordering platform and its associated website, applications, and messaging services (collectively, the "Service"), operated by KaminoAI LLC("Clockwork," "we," "us," or "our"). If you do not agree to these Terms, do not use the Service.
1. Acceptance and authority
By creating an account, accessing, or using the Service, you represent that you may enter into these Terms for yourself or the business you represent ("you" or "Customer"). If you act for an entity, you represent that you have authority to bind it.
2. Description of the Service
Clockwork helps restaurants create, manage, and coordinate purchase orders with vendors and suppliers. Optional messaging features may be available only after required approval, participant consent, configuration, and operational gates are complete. We may modify, suspend, or discontinue all or part of the Service.
3. Accounts
You must be at least 18 and provide accurate, current, and complete information. You are responsible for safeguarding account credentials and for activity under your account, and you must promptly notify us of suspected unauthorized access.
4. Acceptable use
You may not use the Service to:
- Violate applicable law, regulation, carrier rule, or another person's rights;
- Send spam, marketing, deceptive, fraudulent, unsolicited, or non-order-related messages;
- Submit consent for another person, add an unconsented participant, or misstate a participant's role or restaurant context;
- Disclose information to an incorrect group or use group content outside legitimate order coordination;
- Bypass approval, consent, security, or messaging gates;
- Disrupt the Service or attempt unauthorized access to accounts, systems, or networks.
We may suspend or terminate access when we reasonably believe this section has been violated.
5. Group MMS roles and consent
KaminoAI LLC, operating Clockwork, is the operator and sender of the Clockwork messaging program. A restaurant using Watch is the business and order context, not the messaging program sender. When enabled, a Clockwork Group MMS is intended to contain the Clockwork bot number, an opted-in restaurant employee, and an opted-in vendor employee.
Each human participant must submit their own mobile number and actively agree through the public Clockwork consent form before being added to a group. An authorized restaurant representative may email the participant-specific form link, but may not send a pre-consent invitation text, select the consent box for another person, submit another person's consent, or add an unconsented number to a Clockwork group.
Consent is required to receive Clockwork Group MMS order-coordination messages and to be added to a Clockwork messaging group. Consent is not required to purchase goods or services, use Clockwork, or maintain a business relationship. Anyone who does not consent or later opts out must coordinate orders through another agreed channel, such as email or phone.
Participants acknowledge that their phone number, messages, and order content shared in the group will be visible to every group participant. Customers must use the feature only for legitimate, transactional order coordination, identify the restaurant context accurately, honor participant choices, and comply with applicable law and carrier rules.
Group MMS remains disabled until Twilio approves the program and Clockwork implements and enables a separate consent-aware send gate. Source code, a consent record, or an order submission does not by itself authorize or cause messaging.
To the extent permitted by law, you agree to indemnify and hold KaminoAI LLC harmless from claims, damages, penalties, or liabilities arising from your unauthorized submission of consent, addition of an unconsented participant, or other misuse of the messaging feature.
6. MMS Terms incorporated by reference
The Clockwork MMS Terms of Service are incorporated into these Terms and control if they conflict with these Terms on mobile messaging matters.
7. Intellectual property and Customer Data
The Service, including its software, text, graphics, logos, and other content other than Customer Data, is owned by KaminoAI LLC or its licensors and protected by intellectual-property law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for internal business purposes.
"Customer Data" means data, order information, and content submitted to or through the Service. As between you and us, you retain rights to Customer Data and grant us permission to host, process, transmit, and disclose it as necessary to provide, secure, support, and improve the Service, including the Group MMS visibility described above.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT MESSAGES WILL BE DELIVERED ON TIME OR AT ALL. DELIVERY DEPENDS ON THIRD-PARTY CARRIERS AND INFRASTRUCTURE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KaminoAI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT PAID TO US IN THE TWELVE MONTHS BEFORE THE CLAIM.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
10. Suspension and termination
We may suspend or terminate access for security, legal, operational, or Terms violations. You may stop using the Service at any time. Provisions that by their nature should survive termination remain in effect.
11. Governing law
California law governs these Terms, without regard to conflicts principles. Disputes arising from these Terms or the Service are subject to the exclusive jurisdiction of state and federal courts located in California.
12. Changes to these Terms
We may revise these Terms and will post an updated effective date. Where appropriate, we will provide additional notice, such as email or in-product notice. Continued use after changes take effect constitutes acceptance of the revised Terms.
